Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of Facet, a forensic media-attribution service operated by [FACET LABS — LEGAL ENTITY ON FORMATION] (“Facet,” “we,” “us”). By creating an account, accessing, or using the Service you agree to these Terms. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind it.

1. The Service

Facet lets you register media you own or are authorized to use, issue copies that carry an invisible embedded identifier, and later submit a suspect copy so the embedded identifier can be recovered and an attribution result and technical evidence report produced. Facet is currently offered as an invite-only private pilot. We may add, change, suspend, or discontinue any part of the Service at any time, and the Service may be unavailable or contain errors.

Recovery and attribution are performed from the suspect copy itself and do not require your original. Attribution therefore remains available even if you remove your registered original from the Service. Deeper, reference-based proof — should we offer it in future — would instead require you to provide the exact same original file again.

The pilot is experimental and may change or end. The Service is provided on a pilot basis for evaluation, and we make no promise that it — or any feature, data format, embedded identifier, or record — will be maintained, supported, or remain available. We may modify, replace, migrate, or discontinue the Service or any part of it at any time, and we do not guarantee that the pilot will continue or become a generally available production service. Any future production version may differ materially and may be offered under different terms. During the pilot and any transition to a production service, Customer Content, issuance records, and evidence reports may be changed, migrated, regenerated, or lost, and we do not guarantee their retention, portability, or continuity. You should keep your own copies of any media, records, or reports that are important to you.

2. Eligibility & accounts

  • You must be at least 18 and able to form a binding contract. The Service is not directed to children.
  • You are responsible for your account credentials and for all activity under your account. Keep credentials confidential and notify us at [CONTACT EMAIL] of any unauthorized use.
  • Access is by invitation and may be revoked at our discretion.

3. Your content and your responsibilities

“Customer Content” means the media, recipient identifiers, and other data you submit to the Service. As between you and Facet, you retain all ownership of your Customer Content. You grant Facet a limited, non-exclusive license to host, process, and transform Customer Content solely to operate and provide the Service to you (including embedding identifiers, generating copies, performing detection, and producing evidence reports; and, where we offer it in future, using your registered original as a reference to improve recovery of the embedded identifier in your own copies). Facet does not use Customer Content to train, develop, or improve any machine-learning or artificial-intelligence models, and does not use it for any purpose other than operating and providing the Service to you.

You represent and warrant that:

  • the media you register and distribute is either owned by you or free to use (for example, licensed under Creative Commons, in the public domain, or otherwise lawfully cleared for your use), you hold every right and permission necessary to use it, and you will not upload or distribute media owned by another person or entity that you are not authorized to use;
  • you have a valid lawful basis to process any personal data you submit (including recipient identifiers) and have provided any notices and obtained any consents required by applicable law; and
  • your use of the Service complies with these Terms, the Acceptable Use Policy, and all applicable laws.

You are solely responsible for your Customer Content and for how you use the Service’s outputs, including any decision you make based on an attribution result or evidence report.

4. Acceptable use

Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms. Among other things, you may not use Facet for unlawful surveillance, to harass or harm any person, to process personal data without a lawful basis, or to reverse-engineer, circumvent, or extract the keying of the embedding engine. Content that violates the Acceptable Use Policy — including any media you do not own or are not authorized to use — may be removed, and any abuse of the platform may result in the suspension or permanent ban of your account, with or without notice. You may not upload, register, or distribute illegal media or use the Service for any unlawful purpose; illegal content will be removed and may be reported, together with relevant account information, to law enforcement and other authorities.

5. Intellectual property

The Service, including all software, the embedding and detection technology, documentation, and the Facet name and marks, is owned by Facet and its licensors and is protected by intellectual-property laws. We grant you a limited, revocable, non-transferable license to use the Service per these Terms. You may not copy, modify, distribute, sell, or create derivative works of the Service, or reverse-engineer or attempt to derive its source code, models, or keys, except to the extent this restriction is prohibited by law.

6. Fees

Fees, if any, will be as described in an order or as [PRICING / BILLING TERMS]. During the private pilot the Service may be provided at no charge, and we may begin charging on notice.

7. Confidentiality (pilot)

Non-public information about the Service made available during the pilot (including features, performance, and the contents of evidence reports not relating to your own Customer Content) is confidential and may be used only to evaluate and use the Service. [NDA REFERENCE] may apply.

8. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind. To the fullest extent permitted by law, Facet disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement.

  • Facet does not warrant that detection or attribution will be accurate, complete, or available, that an embedded identifier will survive any particular transformation, or that the Service will be uninterrupted or error-free.
  • Evidence reports are technical outputs. They are not legal advice and are not a representation that any result is admissible or sufficient in any proceeding. You are responsible for obtaining your own legal advice.
  • Nothing Facet provides constitutes legal, forensic, or professional advice.

9. Limitation of liability

To the fullest extent permitted by law:

  • Facet will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to the Service or these Terms, even if advised of the possibility.
  • Facet’s total aggregate liability for all claims arising out of or relating to the Service or these Terms will not exceed the greater of the amounts you paid to Facet in the [12] months before the event giving rise to the claim, or [USD AMOUNT (e.g. 100)].
  • These limitations apply regardless of the theory of liability and even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so some may not apply to you.

10. Indemnification

You will defend, indemnify, and hold harmless Facet and its operator(s), owners, and personnel from and against any claims, damages, liabilities, and costs (including reasonable legal fees) arising out of or relating to your Customer Content, your use of the Service, or your violation of these Terms, the Acceptable Use Policy, the rights of a third party, or any law (including data-protection law).

11. Term & termination

These Terms apply while you use the Service. We may suspend or terminate your access at any time, including for violation of these Terms or the Acceptable Use Policy. You may stop using the Service at any time. Sections that by their nature should survive termination (including Sections 3, 5, and 8–10) survive. On termination we will handle Customer Content as described in the Privacy Policy and any applicable data-processing terms.

12. Governing law & disputes

These Terms are governed by the laws of [GOVERNING LAW], without regard to conflict-of-laws rules. The exclusive venue for disputes is [COURTS / VENUE]. [OPTIONAL: arbitration clause]. 13. Changes to these Terms

We may update these Terms. If we make material changes we will provide reasonable notice (for example, by posting the updated Terms with a new effective date or notifying you). Your continued use after the changes take effect constitutes acceptance.

14. General

  • These Terms, the Acceptable Use Policy, and the Privacy Policy are the entire agreement between you and Facet regarding the Service.
  • If any provision is unenforceable, the rest remains in effect and the provision is modified to the minimum extent necessary.
  • We may assign these Terms, including to [FACET LABS] on its formation or in connection with a merger, acquisition, or sale of assets. You may not assign them without our consent.
  • Our failure to enforce a provision is not a waiver.
